Boris Johnson withdrew his leadership bid because Michael Gove made his own leadership bid. Gove was Johnson's campaign manager for his bid for Conservative Party leadership and Johnson needed Gove's support to get the votes to win leadership, so Gove had effectively stabbed him in the back. Gove himself was never going to win, he'd spent the last few years as probably one of the most incompetent Education Secretaries ever and everyone hated him. So Gove was eliminated, this left Theresa May and Andrea Leadsom, two women, as the only candidates left standing. Leadsom withdrew so May became Prime Minister.
It was basically a fix.

They have a UK presence. Even if they didn't, they could probably still be found in contempt of court because they're a sueable entity. If the judge wanted them badly enough they could be extradited.
